1. Identity and Status
SunGold Escrow Funds is a trading name of SunGold Escrow Nominees Ltd (Company No. 03173210), registered in England and Wales. Our registered office is at Redwood House, Stoke Court Drive, Stoke Poges, Buckinghamshire, SL2 4LT.

 

2. Nature of Services
We act as an independent escrow provider and escrow consultant. Our role is strictly that of a neutral third party: holding funds, assets, documents or software deposits, and releasing them only when pre-agreed conditions have been met. At no time do we act as an investment adviser, insurer, bank, or fiduciary (unless expressly agreed in writing).

 

3. No Liability for Instructions
We accept and act only on properly documented, valid and authorised instructions from the parties to an escrow agreement. We are not responsible for determining or validating the truth, accuracy or completeness of content provided by clients or third parties. We are not liable for losses or damages arising from instructions given in good faith, except in cases of wilful misconduct or gross negligence on our part.

 

4. No Assurance of Performance
While we employ reasonable care, we do not guarantee that a party will be able to fulfil its obligations under an underlying transaction. Release of escrowed assets depends on validation of conditions and instructions as per the escrow agreement.

 

5. Fees, Costs & Deductions
Our fees, expenses and disbursements (including legal, banking or verification costs) are as set out in the escrow agreement. We may deduct such fees from the escrow fund (or require payment) before disbursement.

 

6. Interest & Income
Any interest or returns accruing on escrowed funds will be handled in accordance with the terms of the escrow agreement. Unless otherwise specified, we do not guarantee any particular yield or return.

 

7. Governing Law & Jurisdiction
Any arrangement, agreement, claim or dispute relating to our services is subject to and governed by the laws of England and Wales. The parties irrevocably submit to the non-exclusive jurisdiction of the courts of England and Wales.

 

8. Amendments & Waivers
No amendment, waiver or variation of these terms will be effective unless agreed in writing by all parties and signed by a duly authorised representative of SunGold Escrow Nominees Ltd.

 

9. Confidentiality & Data Protection
We treat all information, documents and deposits as strictly confidential. We will not disclose any client or transaction information except where required by law, regulatory authority or a court order, or if authorised by written client consent. Our data processing practices conform to applicable data protection laws (including UK GDPR).

 

10. External Links & Third Parties

11. Severability
If any provision of this Disclaimer is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
